SUMMARY OF TEMU'S SELLER AGREEMENTS

This is a summary of Temu’s Seller EU Services Agreement ("SSA") including, to the extent applicable, any supplementary agreements and policies (the "EU Seller Rules"). Our EU Seller Rules, as published in the Temu EU Seller Center also form part of our agreement. These cover a variety of areas, including in relation to sellers' conduct, sellers' fulfilment obligations, anti-fraudulent transactions procedures, seller’s fraudulent/deceptive registration, product safety and compliance requirements,extended producer responsibility, data protection, VAT Calculation Methodology, carbon emissions reporting (if applicable) and our advertising services (if applicable).

Together, all of these documents form the “Agreement” for the purposes of this summary.

This summary is provided for the convenience of European Economic Area (EEA) sellers. It is not a legal document. This summary does not contain all elements of the Agreement. Should there be any discrepancy or conflict between this summary and the terms of the Agreement, the Agreement will apply. We kindly encourage you to read and familiarise yourself with our full Agreement, including any applicable supplementary policies.

1. Overview

The Agreement is a binding contract between you and us, Whaleco Technology Limited, an Irish company. The Agreement is in respect of your access to and use of services provided by us (or one of our affiliates) through the Temu APP and the Temu.com website in the EU (together, the “Temu Platform”).

We may change the Agreement from time to time. When we do, we will inform you of these changes. Some changes will start applying immediately (e.g. where these changes are required by law) but most material changes will only start applying after 15 days. If you continue to access and use the Temu Platform after these changes, you will be deemed to have accepted them. If you object to any changes, you should stop any activity on the Temu Platform immediately and let us know of your decision to do so (see SSA Section 1.3).

2. What the Agreement covers

Our services. The Agreement describes the services we provide to you, which make it possible for you to offer products and services and advertise directly on the Temu Platform, and highlights that we can change these services from time to time (see SSA Section 2). Where required by applicable law, we will provide you with carbon emissions estimates relating to your use of transportation services within France offered or marketed through the Temu (see Carbon Emissions Reporting Policy).

Your obligations. The Agreement also explains your rights and obligations as a seller on the Temu Platform. This includes your promise to:

  • Account and information. complete the registration process for a Temu seller account and provide all required information (see SSA Section 4.1 and Monetary Restriction Policy for Fraudulent/Deceptive Registration) and properly maintain and use your seller account in compliance with laws and the applicable EU Seller Rules (see SSA Sections 4.2 and 5). responsible for the accuracy of all calculations, invoicing, tax reporting and any other tax-related obligations (see European VAT Calculation Methodology);

  • Fees, balance, payment and taxes. settle any service fees that are payable to us in line with the payment mechanics in the Agreement (see SSA Section 3 and the EU Seller Shipping Fee Charts, EU Seller Fulfilment Violation Fee Chart and (where applicable) Section 5 of the Advertising Terms), maintain a certain balance in your seller account (see SSA Sections 6.1-6.2 and (where applicable) Section 4 of the Advertising Terms) and comply with the terms of the Agreement on payment services (see SSA Section 10 and the EU Third Party Payment Service Providers and (where applicable) Section 5 of the Advertising terms), being solely responsible for paying taxes or other charges (see SSA Section 11 and (where applicable) Section 5 of the Advertising Terms);

  • Order fulfilment and after-sale services. in relation to orders for your products, take all responsibility for the fulfilment of orders (see SSA Section 9 and the EU Seller Fulfilment Policy) and for the provision of after-sales services and customer services (see SSA Section 12).

Your materials and your products. Under the Agreement you also make other important promises to us, including:

  • Your materials. that you grant us certain rights and licences to use your materials (including trademarks) and to use and create derivative works from your feedback on the Temu Platform (see SSA Section 7 and (where applicable) Section 3 of the Advertising Terms); and

  • Your products. that you have all necessary rights to offer your products on the Temu Platform in compliance with applicable laws, that the products themselves comply with applicable laws and applicable EU Seller Rules (e.g. the Temu Product Safety and Compliance Policy) and that the information that you provide in relation to your products is in compliance with the Agreement (see SSA Section 8).

  • Your advertisements. that you comply with all applicable laws, rules, industry standards and codes of conduct and respect cultural, religious and social customs when placing advertisements on the Temu Platform (see the EU Advertising Service Usage Guidelines).

Ranking parameters and Recommender Systems. The Agreement explains how we order and recommend content on the Platform (see SSA Sections 2.3 and 27 and Section 2.2 of the Advertising Terms).

Indemnity and liability. The Agreement explains when you will indemnify us and sets out the limitations on both your and our liability (see SSA Sections 14 and 16 and Section 11 of the Advertising Terms).

General. The Agreement also includes other important details, including (amongst others) in relation to affiliated accounts (see SSA Section 15 and Section 2.4 of the Advertising Terms), confidentiality and publicity (see SSA Section 17 and Section 8 of the Advertising Terms) and the nature of the relationship between us and you (see SSA Section 19).

3. When and how can the Agreement end

The Agreement does not have a set duration. It explains how and when either you or us can terminate it and also describes in which circumstances we can limit or suspend your use of the Temu Platform including your use of the Advertising Services (see SSA Sections 13.6, 15.2 and 22 and Section 6 of the Advertising Terms).

4. How complaints or disputes are handled

Any complaint you may have about our services or the way we’ve treated you should firstly be submitted via our internal complaints handling process available at the Temu EU Seller Center. You can find additional information about the process in SSA Section 23.1 and in the Seller Center.

If we are unable to resolve your complaint in this way, the Agreement explains what your options are, including:

  • Mediation: Any dispute between us can be referred to one of our preferred independent mediators and we will bear a reasonable proportion of the total costs. SSA Section 23.2 of the Agreement sets out further detail on how this process works.

  • Out of court dispute settlement: You have a right to choose a certified out-of-court dispute settlement body to resolve any dispute that relates to a decision by us to restrict your content or access to Temu on the basis of illegality or incompatibility with our terms (see SSA Section 23.3). You also always have the right to start legal proceedings in the Irish courts. The Agreement is governed by the laws of Ireland.
